Paycron reserves the right to terminate services and revoke access to our software, portal, and gateway at our sole discretion. This right to terminate is based on various factors related to the merchant’s risk profile and compliance with the terms of this Agreement. The decision to terminate or suspend access may be influenced by, but is not limited to, the following conditions:
Changes in Legal Status: Significant changes in the merchant’s legal status, such as dissolution, bankruptcy, or legal proceedings that impact the business’s operational or financial stability.
Financial Instability: Evidence of financial instability, including but not limited to the inability to meet financial obligations or future fees associated with Paycron’s services.
Customer Complaints: Recurrent or severe complaints from customers suggesting unethical business practices, poor service quality, or other issues that may harm Paycron’s reputation or compliance standards.
Excessive Bank Account Changes: Frequent or unusual changes to bank accounts or financial transactions that could indicate potential misuse, fraud, or financial instability.
Legal Investigations: Ongoing or recent legal investigations involving the merchant, which may suggest involvement in illegal activities or non-compliance with regulatory requirements.
Excessive Risk and Credit Holds: Persistent or excessive risk and credit holds imposed by financial institutions, which may indicate significant issues with the merchant’s financial stability or risk profile.
Illegal Activities or Violations: Involvement in illegal activities, industry rule violations, or non-compliance with relevant laws and regulations that could impact Paycron’s operations or legal standing.
Regulatory Fines: Fines or sanctions imposed by banks, regulatory bodies, or law enforcement agencies due to non-compliance with industry standards, laws, or regulations.
Termination Procedures
In the event of termination, Paycron will follow these procedures:
Immediate Suspension: Your access to Paycron’s software, portal, and gateway will be immediately suspended. You will no longer be able to use any features or functionalities provided by Paycron.
No Refunds or Credits: Termination will not result in refunds or credits for any unused or partially used services. This policy applies to all pre-paid services, including subscription fees, transaction credits, and other paid features.
Immediate Payment of Fees: All outstanding fees, including any remaining annual fees, become immediately due upon termination. You are responsible for settling all balances owed to Paycron, including fees incurred up to the date of termination.
Post-Termination Obligations
Upon termination of your account and services with Paycron, you agree to the following obligations:
Cease Use of Services: You must immediately cease all use of Paycron’s services. This includes discontinuing any transactions, processes, or activities related to the software, portal, or gateway.
Discontinue Use of Trademarks: You are required to stop using any Paycron trademarks, logos, or intellectual property. This includes removing all Paycron branding from your website, marketing materials, and any other public or private communications.
Remove Paycron References: You must promptly remove all references to Paycron from your website and other platforms. This includes deleting any mentions of Paycron in marketing materials, email signatures, and social media profiles.
End of Licensing: Any licenses granted to you under this Agreement, including the use of Paycron’s intellectual property, software, or services, will be terminated immediately. You no longer have the right to use Paycron’s trademarks, logos, or other proprietary materials.
Data Deletion: Paycron reserves the right to delete all information and data associated with your account. This includes transaction records, account details, and any other data stored on our servers. We recommend that you back up any important information prior to termination, as we will not be responsible for retaining or providing this data after termination.
Liability for Compensation: Paycron will not be liable for any compensation, reimbursement, or damages related to the termination of your account or the deletion of your data. This includes any claims related to loss of access, business interruption, or other impacts resulting from the termination of services.
Responsibility for Fees: You remain liable for any fees, fines, or other charges incurred during your use of Paycron’s services. This includes any amounts due for transactions, account maintenance, or legal penalties arising from your actions or inactions prior to termination.
Additional Terms and Conditions
Service Interruption: Paycron may experience interruptions or disruptions in service due to technical issues, maintenance, or other factors beyond our control. We do not guarantee uninterrupted service and are not liable for any damages resulting from service interruptions.
Compliance with Laws: You agree to comply with all applicable laws and regulations related to your use of Paycron’s services. This includes adhering to all legal and regulatory requirements pertinent to the type of services you provide and the transactions you conduct.
Indemnification: You agree to indemnify and hold harmless Paycron, its affiliates, employees, and agents from any claims, liabilities, or damages arising out of your use of the services, including but not limited to legal claims related to your business operations or compliance with applicable laws.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration as per the rules of the American Arbitration Association.
